Terms

1. About these terms

These terms are between you and Novaevum Pty Ltd (ABN 52 701 855 727), Suite 2 Level 1, 9-11 Grosvenor Street, Neutral Bay NSW 2089, Australia, the maker of Offcut. "We" and "us" mean Novaevum Pty Ltd. "You" means the person who bought Offcut or, if a business bought it, the one person in that business the licence is assigned to; that person's use is the "seat". They have two parts and a common tail: Part A is the licence for using the Offcut app, Part B covers this website, and clauses 13 to 16 apply to both. You accept these terms when you buy Offcut at checkout, and again when you first open the app; if you do not agree with them, do not install it. If these terms and the refunds or privacy page ever differ, these terms govern the licence, the refunds page governs refunds, and the privacy page governs your information.

2. Buying Offcut

Offcut is sold through Paddle, who act as the merchant of record (Paddle.com Market Ltd in the United Kingdom, or Paddle's United States or Canadian company if you buy from there). When you buy, your purchase contract for the payment is with Paddle, under Paddle's Buyer Terms. The licence to use Offcut is granted by us, under Part A below. The price is shown at checkout; Paddle may add tax depending on where you are.

Part A: the software licence

3. What you get

A personal, non-exclusive licence for one person, or one seat in a business, to install and use Offcut on up to three Macs that you own or control. It covers Offcut version 1 and every 1.x update. Future major versions, and any additional products, may be sold separately.

4. Activation and your Macs

Your licence key activates on up to three Macs. To use it on a fourth, deactivate one from Settings, which frees that seat straight away. If all three are in use when you activate a new Mac, Offcut shows you the Macs it is active on so you can sign one out; a Mac signed out that way cannot be reactivated for 30 days. This is what stops a key being passed from person to person, and it is the only waiting period for moving a key between Macs. Offcut checks in with our licence server each time you open it, no more than once an hour unless you ask it to, and only when you are online. Scanning and browsing always work, whether or not Offcut can reach us. Until your licence is settled on a Mac, deleting there needs Offcut to have reached our server within the previous ten days, counting from the day you bought if that Mac never has; if it has not, deleting pauses until it next can. Your licence settles on a Mac the first time Offcut on that Mac checks in 45 or more days after you buy, and from then on deleting there never pauses because our server cannot be reached. If your purchase is refunded in full or charged back, your licence stops unlocking deletion the next time Offcut checks in, or at the next update, whichever comes first. If any of this ever leaves you stuck, write to support@offcut.video.

5. What you must not do

6. What Offcut does, and what you are responsible for

Offcut identifies media in your Final Cut Pro libraries that appears to be unused, or that Final Cut Pro can rebuild, and shows you the evidence. It moves nothing until you confirm, and then only to the Bin or to a Quarantine folder, keeping a record so it can be restored. Range Trim writes a new, trimmed copy of a library and leaves the original untouched; deleting the original is your decision, made in the Finder. Offcut never deletes a library you made.

You are responsible for:

Offcut's judgements rest on what your libraries record. We do not promise that every file it lists is unused in every sense that matters to you, which is why it shows you the evidence and waits for you.

7. Updates

Every 1.x update is included. Offcut checks for updates when it opens and asks before installing one; you can turn the check off in Settings.

8. Refunds and ending a licence

Refunds are covered on the refunds page. A licence that has been refunded in full or charged back stops unlocking deletion, as clause 4 describes; scanning and browsing keep working. We may end a licence, with notice to the email address we hold for it, if you break clause 5 or the key was obtained by fraud. We will not end a licence for any other reason.

9. The Australian Consumer Law

Our software comes with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the software repaired or replaced if it fails to be of acceptable quality and the failure does not amount to a major failure. Nothing in these terms excludes, restricts or modifies those guarantees, or any other right you have under law that cannot be excluded.

10. Our liability

Apart from those guarantees, and to the extent the law permits, our total liability to you in connection with Offcut or this website is limited to the amount you paid for it, and we are not liable for loss of data, profit or business that we could not reasonably foresee. This does not limit our liability for anything the law does not allow us to limit. Nothing in these terms asks you to compensate us for anything.

11. Intellectual property

Offcut, its code, its design and its name belong to Novaevum Pty Ltd. Your media, your libraries and your projects remain yours, and we claim nothing in them. If you send us a screen recording with a support report, you give us permission to keep and use it for the purposes the privacy page describes.

Part B: this website

12. Using offcut.video

The content of this site is for information, and we may change it at any time. The site, its text, its images and its design belong to Novaevum Pty Ltd. You may not scrape the site, interfere with it, or use it to attack anyone. Final Cut Pro is a trademark of Apple Inc.; Offcut is not affiliated with or endorsed by Apple.

Both parts

13. Privacy

What Offcut and this site send, and what we keep, is set out in full on the privacy page.

14. Changes to these terms

New terms apply to purchases made after they are published. A change never reduces the rights of a licence you already hold. We may transfer these terms, and the licence records that go with them, to a buyer of the business; the privacy page says what happens to your information. The version and date at the top of this page, and the log at the foot, record every change.

15. Law and disputes

These terms are governed by the law of New South Wales, Australia, and disputes may be brought in the courts of New South Wales. Nothing in this clause stops you relying on the consumer protection law of your own country, or using its courts, where that law gives you the right to. If any part of these terms is found to be unenforceable, the rest still applies.
